Terms of Service

1. Acceptance of Terms

By accessing the CloudResolve website or using any of our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our website or services. These Terms constitute a legally binding agreement between you ("User," "You," or "Institution") and CloudResolve Technologies ("CloudResolve," "We," "Us," or "Our").

2. Eligibility

Our services are intended for educational institutions, their administrators, faculty, staff, and students. By using our services, you represent that you are at least 18 years of age or are acting under the supervision of a parent or guardian. If you are accepting these Terms on behalf of an institution, you represent that you have the authority to bind that institution.

3. Services Overview

CloudResolve provides technology solutions for educational institutions, including but not limited to:

• IT Infrastructure setup, management, and support
• Google Workspace for Education deployment and administration
• AI-powered solutions for learning and administration
• Classroom and Chromebook management solutions
• Academic software and platform integration

Specific terms, service levels, and pricing for each service shall be outlined in individual Service Agreements entered into between CloudResolve and the Institution.

4. Account Registration & Security

You may be required to create an account to access certain features. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Safeguard your account credentials and notify us immediately of unauthorized use
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

5. Acceptable Use

You agree to use our services only for lawful educational purposes and in compliance with all applicable Indian laws and regulations, including the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023. You shall not:

• Use the services for any illegal or unauthorized purpose
• Violate the intellectual property rights of others
• Distribute malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Engage in data scraping, mining, or harvesting without written consent
• Use the services to transmit spam or unsolicited communications

6. Intellectual Property

All content, trademarks, logos, software, documentation, and materials provided by CloudResolve ("Our Content") are the exclusive property of CloudResolve or our licensors. You are granted a non-exclusive, non-transferable, limited license to access and use Our Content solely for your internal educational purposes. Nothing in these Terms grants you any ownership rights to Our Content.

7. Data Protection & Privacy

Our collection and processing of personal data is governed by our Privacy Policy and DPDP Compliance Page. When CloudResolve processes personal data on behalf of an Institution, we act as a Data Processor under the instructions of the Institution (the Data Fiduciary). Both parties agree to comply with their respective obligations under the Digital Personal Data Protection Act, 2023.

8. Payment Terms

Fees for services shall be as set forth in the applicable Service Agreement. Unless otherwise agreed:

• Invoices are due within 30 days of receipt
• Late payments may incur interest at 1.5% per month or the maximum rate permitted by law
• All fees are non-refundable except as expressly stated in the Service Agreement
• Prices are exclusive of applicable taxes, which shall be borne by the Customer

9. Limitation of Liability

To the maximum extent permitted by applicable law, CloudResolve shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to the use of our services, even if advised of the possibility of such damages. Our total liability for any claim arising under these Terms shall not exceed the total fees paid by you for the specific service giving rise to the claim in the 12 months preceding the event.

10. Indemnification

You agree to indemnify, defend, and hold harmless CloudResolve, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of: (a) your use of the services in violation of these Terms, (b) your violation of any applicable law, or (c) any content or data you submit through our services.

11. Termination

CloudResolve may suspend or terminate your access to the services at any time, with or without cause, upon written notice. Upon termination, your right to use the services ceases immediately, and we may delete your data in accordance with our data retention policy. Sections 6, 9, 10, and 13 shall survive termination.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated "Last Updated" date. We will make reasonable efforts to notify you of material changes via email or through our platform. Continued use of the services after changes constitutes acceptance of the revised Terms.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the services shall first be attempted to be resolved through good-faith negotiations. If unresolved, disputes shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, seated in Bangalore, India. The language of arbitration shall be English.
